Welcome to Phoenix Global LLC (referred below as Phoenix), an online educational platform. By using Phoenix, you agree to the following terms and conditions. Please read them carefully.

1. Definitions

The following terms used in these terms and conditions shall have the following meanings:

• "Platform" or "Phoenix" or "us" or "we" or "our" refer to Phoenix Global LLC.
• "User" refers to any person who registers or uses the platform.
• "Content" refers to any text, graphics, images, videos, files, or any other materials available on the platform.

2. Registration and Accounts

To use the platform, you must create an account and provide certain information about yourself, e.g. name and email address. You are responsible for maintaining the confidentiality of your account information, and you agree to notify us immediately of any unauthorized use of your account.

The information you provide can be used for internal analytics and improvements and used to sign you up for our informational and marketing emails, including but not limited to newsletters and write-ups.

3. Content

Our platform offers a variety of educational content. The content may include videos, documents, files, and other materials. We may add or remove content from the platform at any time. We reserve the right to share any of the paid content across social media or elsewhere for free for marketing or for any other purposes. We can choose to freely distribute any of the video series or any other content as we deem necessary.

4. Payments and Refunds

We reserve to right to change prices and pricing structures for all products at all times. Refunds are generally not available and can only be made under the sole discretion of Phoenix. In almost cases, however, no refunds will be made under any circumstances.

You can purchase an individual account or an enterprise account. The enterprise account consists of multiple individual accounts. In any case, each individual account can only be used by a single individual.

By purchasing an individual account, whether separately or as part of an enterprise purchase, you get access to all the existing video series on the platform for the period of 1 calendar year. You are only guaranteed to have access to the video series that are available at the time of your purchase.

We may or may not add additional video series over time. We certainly do not promise any new video series or any other content in addition to the video series available at the time of your purchase. The price you pay is based on the existing video series at the time of your purchase.

5. Intellectual Property Rights

All content on the platform, including videos, documents, and any other materials, is the property of Phoenix or its licensors and is protected by international copyright and intellectual property laws.

6. User Conduct, Account Security and Content Restrictions

You agree to use the platform only for lawful purposes and in accordance with these terms and conditions. You may not engage in any activity that disrupts or interferes with the platform, including but not limited to hacking, spamming, stealing content, scraping, training Artificial Intelligence models on our content, trying to download the content in any way.

You are not allowed share your account details with others, copy, reproduce, distribute, or publicly display or share in any form any content from the platform without our prior written permission.

You are not allowed to contact any of the people appearing in the videos or educational materials directly to ask for any additional services or to reference the videos as a way to gain visibility or ask for favors.

Each individual account is licensed solely to the individual who purchased or was assigned that account. Accounts, login credentials, access links, videos, documents, transcripts, screenshots, recordings, or any other Phoenix Content may not be shared with any other person or entity.

Users may not, directly or indirectly:

• copy, download, record, screen-record, capture, reproduce, scrape, archive, extract, transmit, upload, publish, distribute, redistribute, sublicense, sell, resell, display, or otherwise make Phoenix Content available to any third party;
• share account credentials or permit any other person to access Phoenix through their account;
• provide Phoenix Content or access to any course-sharing, piracy, torrent, file-sharing, cloud-storage, messaging, forum, marketplace, social-media, or similar service;
• attempt to circumvent technical restrictions, access controls, security measures, download restrictions, suspensions, bans, or account limitations;
• create, purchase, or use another account or email address to regain access after an account has been suspended, restricted, or terminated;
• scrape, index, systematically collect, or create copies or archives of Phoenix Content;
• use Phoenix Content to train, fine-tune, evaluate, or otherwise develop artificial-intelligence or machine-learning systems without prior written authorization from Phoenix;
• remove, alter, conceal, or attempt to bypass any watermark, identifying information, copyright notice, tracking mechanism, or other security feature associated with Phoenix Content.

Any attempted violation is considered a violation of these Terms regardless of whether the attempt is successful.

Phoenix may use technical, account, payment, access, usage, and security information available to us to investigate suspected unauthorized use, subject to our Privacy Policy.

Any unauthorized copying, sharing, redistribution, recording, downloading, or publication of Phoenix Content constitutes a material breach of these Terms and may also constitute infringement of Phoenix's intellectual-property rights.

7. Misuse of Information

Phoenix reserves all rights and remedies available to it in connection with unauthorized use or distribution of its Content, including seeking damages, injunctive relief, recovery of improperly distributed materials, and any other remedies available under applicable law.

Users may not knowingly or recklessly:

• publish or communicate false or misleading statements of fact concerning Phoenix, its owners, employees, contractors, speakers, licensors, products, or services;
• falsely represent the circumstances surrounding an account suspension, termination, refund, investigation, or enforcement action;
• impersonate Phoenix or any person associated with Phoenix, or falsely suggest authorization, affiliation, endorsement, or representation;
• publish, disclose, reproduce, or distribute Phoenix Content, confidential information, internal communications, security procedures, access controls, non-public materials, or other information obtained through unauthorized access or in violation of these Terms;
• use Phoenix trademarks, copyrighted materials, recordings, screenshots, or other intellectual property in a manner that infringes Phoenix's rights;
• engage in threats, harassment, targeted abuse, doxxing, intimidation, or coordinated conduct intended to interfere unlawfully with Phoenix's business or its relationships with customers, employees, speakers, contractors, or partners.

Phoenix reserves all rights and remedies available under applicable law in relation to defamatory statements, infringement of intellectual-property rights, unlawful disclosure of confidential information, harassment, impersonation, fraud, or other unlawful conduct.

The suspension, termination, or refund of an account does not waive any rights Phoenix may have in relation to conduct occurring before or after termination.

Refer to our Privacy Policy for detailed information on how we collect, use, and protect your data.

9. Disclaimers of Warranties and Limitations of Liability

We do not guarantee the accuracy, completeness, or reliability of the content available on the platform, especially because some of the knowledge shared could be subjective. The content on the platform is purely educational. We shall not be liable for any direct, indirect, incidental, or consequential damages arising out of the use of our service.

Our platform is strictly for educational purposes. We do not provide investment advice, recommendations or manage money in any way. If you are looking for actual investment guidance, you should consult a licensed financial advisor or investment firm.

10. Termination and Suspension

We may terminate or suspend your account at any time for any reason, including violation of these terms and conditions.

Phoenix may immediately suspend, restrict, or terminate a User's account or access, without prior notice, where Phoenix determines or reasonably suspects that:

• the User has violated or attempted to violate these Terms;
• the User has copied, shared, distributed, downloaded, recorded, or otherwise misused Phoenix Content;
• the User has shared account access or credentials;
• the User is associated with unauthorized redistribution, piracy, course-sharing, or similar activity;
• the User has attempted to circumvent a previous suspension, restriction, termination, or verification process;
• the User has supplied information that Phoenix considers inaccurate, inconsistent, misleading, or insufficient for account verification;
• the account presents an intellectual-property, security, fraud, abuse, reputational, or other risk to Phoenix, its Content, its speakers, its licensors, or other Users.

Phoenix may suspend access while conducting an investigation and may require identity, payment, employment, email-domain, account-ownership, or other reasonable verification before granting or restoring access.

Phoenix is not required to disclose the details of its internal security procedures, detection systems, investigation methods, evidence, risk assessments, or the specific information that resulted in a suspension or termination.

A User whose account has been suspended or terminated may not attempt to regain access through another email address, account, payment method, intermediary, or third party. Any such attempt may result in immediate termination of the new account.

Termination of access does not waive or limit any rights or claims Phoenix may have arising from conduct occurring before termination.

Phoenix reserves all rights and remedies in connection with any actual or suspected violation of these Terms.

11. Governing Law and Dispute Resolution

These terms and conditions are governed by the laws of Phoenix's Jurisdiction, and any disputes shall be resolved in accordance with the law of that Jurisdiction.

12. Changes to the Terms and Conditions

We reserve the right to modify these terms and conditions at any time, and we will notify you of any changes.

13. Miscellaneous

These terms and conditions constitute an agreement between you and Phoenix. If any provision of these terms and conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

By using Phoenix, you acknowledge that you have read and understood these terms and conditions and agree to be bound by them. If you do not agree to these terms and conditions, you may not register or use the platform. You also acknowledge you may be sued if you violate any of these terms and conditions for the damages caused.
